Metro Boosters Articles of Incorporation Minimize

Article I: Name

The name of this organization shall be Metro Boosters Parents Organization.
The place in this state where the principal office of the Corporation is to be located at is 1057 Highway 96, Shoreview, MN 55126.

Article II: Purpose

The organizational purpose of the Metro Booster Parents Organization is to combat community deterioration and juvenile delinquency by supporting the after school activity of dance education. The dance instruction occupies the student's time throughout the school year and off and on throughout the summer. Participation in the classes teaches the students classical and contemporary styles of dance and teamwork to achieve goals in a wholesome atmosphere. We also believe that with our support, the students gain an appreciation of dance as a fine art, which is beneficial to society in general. Our organization facilitates the involvement of the students through fundraising to pay for a portion of the instructional costs and supplies necessary for the classes. This organizational purpose is pursuant to section 501 (c) (3) of the Internal Revenue Code.

Article III: Membership

Any adult in good standing, who is a United States Citizen and is interested in promoting the study of dance for young people shall be eligible for active membership in this organization upon payment of annual dues. No applicant can be denied membership based on Race, Creed, Sex, or Sexual preference. To be an active member, all dues must be paid for the current dance year (September 1 to August 31).

Article IV: Dues and Participant Fundraising Disbursement

The annual dues for members of this organization shall be set by the Board of Directors and Officers and ratified by the general membership. Annual dues are deposited into the General Fund. The General Fund will be used for expenses and to sponsor events for competition dancers.
No expenditures can be made from the General Fund without prior approval by a simple majority of the Board. All proposed expenditures must be submitted to the Board in writing or by e-mail.
Any fundraising money left over from the previous year by a non-active participant can be transferred to the General Fund if the Treasurer does not receive a disbursement request by December 31st of the following year. Notification will be sent to all non-active participants 30 days prior to December 31st.
Fundraising money can be used to offset cost of dance related expenses for all dancers. Reimbursement requests require the completion of a Disbursement Requisition Form and appropriate receipts. Forms are available from the Treasurer.

Article V: Government

Authority to govern this organization resides in a Board of Directors and the officers of Presidents, Vice-President, Treasurer, and Secretary.
The Board of Directors shall have control and management of both property and organization, subject to the will of the membership. A director need not be a Metro Booster member.
The Board of Directors shall consist of at least three, but no more than five people. The Board of Directors shall oversee nominations and voting procedures relative to the election of new officers. Terms for Officer shall be two years. Board of Director positions shall be for one year terms. The officers report to the Board of Directors. Nominations for open positions will be accepted from the floor for nominated individuals, but these nominated individuals must be present and must accept said nomination. Elections will be by a simple majority vote often members present. Voting shall be by secret ballot by members and no person shall cast more than one vote.
Duties of Officers:

  • President: To preside over General Membership meetings. Coordinate activities with participating dance studios.
  • Vice-President: Preside over meetings if President unable to attend. Chairperson of the Scholarship committee
  • Secretary: Record the minutes of all General Membership meetings. Update and keep current monthly calendar of events. Handle all correspondence for Metro Booster Parents Organization that pertains to the general membership.
  • Treasurer: All bookkeeping functions. Prepare annual reports to be reviewed by the Board of Directors. Collect and distribute funds.

Article VI: Meetings

Meetings shall be specified in the bylaws.

Article VII: Amendment

The articles of this Constitution may be amended by a two-thirds vote of the membership in attendance, provided that written notice of the amendments has been posted on the Metro Booster Parents Organization communication bulletin board at least ten days prior to any action thereon. No parts of these Articles of the Constitution may be suspended.

Article VIII: Dissolution

Upon the dissolution of the corporation, the corporation shall, after paying or making provisions for all the liabilities of the corporation, dispose of all the assets of the corporation to the following non-profit organization under Section 501 (c) (3) of the Internal Revenue Code of 1986 or any corresponding provision of any future United States Internal Revenue Law: Drug Abuse Resistance Education (Hereby known as DARE).
